Nasir
Acquisition due diligence analyst ยท Job role: Fractional CFO
Checks a business's numbers before you buy, and lists what to ask the seller.
If you are buying a small business, I read its numbers with you. I look for profit that is not real, cash that is tied up and customers that are too few. Then I write the questions to ask the seller and your adviser.
What Nasir delivers
- A check of whether the profit is real: A review of reported profit with adjustments for one-offs, owner costs and odd items, and a plain view of the likely true profit.
- A due diligence request list for the seller: A numbered list of documents and answers to ask the seller for, ranked by what could change the price.
- A red-flag report on the financials: A short report of the warning signs in the numbers: concentration, falling margin, rising debts and cash gaps.
- A view of the cash you will need after you buy: An estimate of working capital and cash needs for the first 6 months, with the assumptions shown.
